RoadReel plays audio while you drive. You are responsible for driving safely, for what you upload, and for having the rights to upload it. Sections 14, 31, 38 and 39 affect your legal rights — please read them.

These Terms of Service ("Terms") are a legally binding agreement between you and Dux Group LLC, a California limited liability company ("RoadReel," "Company," "we," "us," or "our"). They govern your access to and use of the RoadReel mobile application, websites, APIs, software, vehicle integrations, audio services, creator tools, advertising services, and related products and services (collectively, the "Service").
By creating an account, accessing, downloading, installing, browsing, uploading Content, listening to Content, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.
If you use the Service on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity, and "you" includes that entity.
"Content" means any audio, recording, music, speech, text, image, artwork, profile, username, comment, link, metadata, advertisement, AI-generated material, or other material made available through the Service.
"User Content" means Content submitted, uploaded, recorded, transmitted, posted, published, or otherwise provided by a user.
"Creator" means a user who submits User Content.
"Third-Party Content" means Content supplied by persons or entities other than RoadReel.
"RoadReel Materials" means the Service, software, interfaces, branding, trademarks, logos, designs, algorithms, databases, features, documentation, and materials owned or licensed by RoadReel.
You must be at least 13 years old to use the Service. The Service carries an App Store age rating of 13+ or higher because it distributes user-generated audio through a social feed, and it is not directed to children under 13.
We do not knowingly collect personal information from children under 13. If we learn that we have collected personal information from a child under 13, we will close the account and delete the information. A parent or guardian who believes a child under 13 has provided us information may contact us at the address in Section 49, and we will delete it promptly.
If you are between 13 and 18 (or the age of majority where you live), you may use the Service only with the involvement and consent of a parent or legal guardian, who agrees to be bound by these Terms on your behalf.
Where a device or platform reports an age range to us — for example through an operating-system age-assurance signal — we may use it to restrict access or tailor the experience.
You may not create an account using false information, impersonate another person, or create an account for someone else without authorization.
You are responsible for maintaining the confidentiality of your credentials and for activity occurring through your account. Notify us promptly if you suspect unauthorized access.
We may require identity, age, email, phone, payment, or other verification and may refuse, suspend, or terminate accounts at our discretion, subject to applicable law.
RoadReel is a technology platform that enables users and third parties to create, publish, discover, recommend, and interact with Content. Unless expressly stated otherwise, RoadReel does not create, verify, endorse, adopt, or guarantee User Content or Third-Party Content.
Content may be inaccurate, incomplete, offensive, defamatory, misleading, outdated, satirical, fictional, AI-generated, or otherwise objectionable. You access and rely on Content at your own risk.
The appearance of Content in a recommendation feed, search result, playlist, advertisement, category, or other interface does not mean RoadReel endorses, verifies, or approves that Content.
You are solely responsible for all User Content you submit and for all consequences arising from its submission, publication, distribution, use, or availability.
Before uploading Content, you must have all rights, licenses, permissions, consents, releases, and legal authority necessary to upload and license that Content to RoadReel for the purposes described in these Terms.
You are responsible for obtaining permissions concerning:
Public availability of material on the Internet does not establish that you have the right to upload or redistribute it.
RoadReel may remove, restrict, disable, demonetize, or refuse any User Content at any time and is not obligated to pre-screen every submission.
For every item of User Content you submit, you represent and warrant that:
If any representation becomes inaccurate, you must promptly remove the affected Content and notify RoadReel when appropriate.
You retain ownership of User Content that you own. However, by submitting User Content to RoadReel, you grant RoadReel a worldwide, non-exclusive, royalty-free, fully paid, transferable, sublicensable license to host, store, reproduce, encode, transcode, adapt, format, modify as technically necessary, create technical derivatives, distribute, communicate, publicly perform, publicly display, promote, advertise, market, recommend, analyze, and otherwise use the User Content in connection with operating, improving, securing, monetizing, and promoting the Service.
This license includes use through mobile devices, websites, CarPlay, Android Auto, vehicle interfaces, APIs, partner services, social sharing features, advertising placements, and other authorized RoadReel distribution channels.
You understand that technical processing may alter file format, bitrate, loudness, artwork, metadata, or other technical characteristics.
You acknowledge that RoadReel may use excerpts, thumbnails, titles, transcripts, descriptions, and other metadata associated with User Content to operate and promote the Service.
The license survives deletion to the extent reasonably necessary for backups, legal compliance, dispute resolution, archival records, cached copies, or Content that has been lawfully shared or incorporated into other Service outputs before deletion, subject to applicable law.
Except for the license expressly granted to RoadReel, you do not transfer ownership of your Content to RoadReel.
You remain solely responsible for obtaining and maintaining any third-party licenses and for paying royalties, fees, residuals, or other amounts owed to third parties arising from your Content.
RoadReel is not responsible for paying third-party royalties on your behalf unless RoadReel expressly agrees to do so in a separate written agreement.
RoadReel respects intellectual-property rights and maintains procedures under the Digital Millennium Copyright Act, 17 U.S.C. § 512.
RoadReel has designated a copyright agent to receive notifications of claimed infringement. The agent's contact information appears in Section 49 and is registered with the U.S. Copyright Office.
If you believe Content on RoadReel infringes your copyright, you may submit a written notice to the designated agent that includes: (a) a physical or electronic signature of the copyright owner or a person authorized to act on their behalf; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the material claimed to be infringing and information reasonably sufficient to locate it; (d) your contact information; (e) a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and (f) a statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the owner.
RoadReel may remove or disable access to allegedly infringing Content while a claim is reviewed.
RoadReel maintains a policy of terminating, in appropriate circumstances, the accounts of users who are repeat infringers.
Users must not submit knowingly false or materially misleading infringement claims. Under 17 U.S.C. § 512(f), a person who knowingly materially misrepresents that material is infringing may be liable for damages.
RoadReel may implement additional automated or human copyright detection, fingerprinting, moderation, or rights-management systems.
You may not upload, publish, transmit, distribute, or facilitate Content that:
RoadReel may use automated systems, artificial intelligence, classifiers, fingerprinting, keyword detection, human reviewers, user reports, and other methods to identify potentially unlawful or prohibited Content.
RoadReel may, without liability to you and subject to applicable law: refuse publication; remove Content; restrict distribution; reduce recommendation; add warnings or age gates; disable comments; demonetize Content; suspend features; suspend or terminate accounts; block users; preserve evidence; disclose information where legally required; and cooperate with law enforcement or rights holders.
RoadReel does not guarantee that prohibited Content will be detected or removed immediately. The existence of moderation tools does not create a duty to monitor every item of Content.
RoadReel provides in-app tools for reporting objectionable Content and for blocking abusive users. Content that receives multiple reports may be automatically withheld from distribution pending review.
RoadReel reviews reports of objectionable Content and acts on them, which may include removing the Content and ejecting the user who provided it. RoadReel endeavours to act on reports of objectionable Content within 24 hours.
Users should report suspected copyright infringement, threats, harassment, illegal Content, or other violations through the available reporting channels or the contact addresses in Section 49.
RoadReel may prioritize reports based on severity, legal requirements, available resources, and risk.
RoadReel does not guarantee a particular result from a report and may decline to disclose the outcome of an investigation for privacy, security, legal, or operational reasons.
You are solely responsible for your communications and interactions with other users.
Do not assume that another user is who they claim to be. RoadReel does not conduct background checks on ordinary users and does not guarantee identity, qualifications, intentions, or conduct.
RoadReel is not responsible for disputes between users except to the extent liability cannot lawfully be excluded.
ROADREEL IS DESIGNED TO PROVIDE AUDIO ENTERTAINMENT, INCLUDING THROUGH VEHICLE INTERFACES. IT IS NOT DESIGNED TO REPLACE YOUR ATTENTION TO THE ROAD.
YOU ARE SOLELY RESPONSIBLE FOR OPERATING YOUR VEHICLE SAFELY AND FOR COMPLYING WITH ALL TRAFFIC LAWS, VEHICLE RULES, AND DEVICE RESTRICTIONS.
Do not manually interact with a phone or screen while driving when doing so is illegal or unsafe. Do not read, watch, type, record, upload, browse, comment, search, or otherwise perform visually distracting tasks while operating a moving vehicle.
Hands-free controls, voice controls, steering-wheel controls, CarPlay, Android Auto, or similar integrations reduce interaction but do not guarantee safety or legality.
You must not use RoadReel if doing so interferes with safe vehicle operation.
If you need to interact with RoadReel in a manner requiring visual or manual attention, pull over and park in a safe and lawful location first.
RoadReel does not control vehicle design, steering-wheel buttons, infotainment systems, mobile operating systems, network conditions, or third-party integrations. RoadReel is not responsible for failures of those systems to operate as expected.
You assume responsibility for determining whether and how RoadReel may lawfully and safely be used in your location and vehicle.
RoadReel is not an emergency service and must not be relied upon for emergency alerts, evacuation instructions, medical instructions, navigation safety, road closures, law-enforcement information, or other time-critical safety information.
Do not use RoadReel Content as a substitute for official emergency services, government notices, professional advice, or real-time navigation systems.
RoadReel may contain opinions, commentary, jokes, satire, speculation, AI-generated material, and unverified claims.
Nothing on RoadReel constitutes legal, medical, financial, tax, investment, insurance, automotive, engineering, safety, or other professional advice.
You should independently verify information before relying upon it.
RoadReel does not guarantee that Content is accurate, complete, current, reliable, or suitable for any purpose.
RoadReel may use artificial intelligence to generate, transform, transcribe, summarize, recommend, moderate, categorize, enhance, or otherwise process Content.
AI outputs can be inaccurate, incomplete, biased, misleading, or inappropriate.
You are responsible for reviewing Content before publication where applicable. You may not use RoadReel’s AI features to create unlawful Content, impersonate others deceptively, infringe rights, or facilitate harm.
RoadReel does not guarantee the accuracy or availability of AI outputs.
Users are solely responsible for complying with laws governing audio recording, interception, wiretapping, consent, privacy, publicity, and communications.
California and several other states require the consent of all parties to record a confidential communication. You must not record another person’s private conversation or voice without obtaining whatever consent is required by applicable law.
RoadReel does not provide legal advice regarding recording-consent requirements, which vary by jurisdiction.
RoadReel may offer location-based recommendations, local Content, or vehicle-related features.
Location information may be collected or processed as described in the Privacy Policy and subject to applicable permissions.
RoadReel does not guarantee that location information is precise, current, or accurate. You remain responsible for complying with local laws and for making safe decisions while driving.
RoadReel may display advertisements, sponsored Content, affiliate promotions, creator sponsorships, and other commercial communications.
Creators and advertisers are responsible for making legally required disclosures and ensuring their claims are truthful and substantiated.
RoadReel may label Content as "Ad," "Sponsored," "Paid Partnership," or similar terminology where appropriate.
Creators may not falsely claim that RoadReel, a government agency, professional organization, or other third party endorses their Content.
RoadReel may remove advertisements or sponsored Content that violate law, these Terms, advertising rules, or platform policies.
If RoadReel offers monetization, creator payments, tips, subscriptions, advertising revenue, or similar programs, additional program terms may apply.
RoadReel may withhold, reverse, suspend, or adjust payments in cases of fraud, invalid traffic, chargebacks, policy violations, intellectual-property disputes, tax issues, or other legitimate reasons.
Creators are responsible for their own taxes and reporting obligations unless applicable law requires RoadReel to handle a particular obligation.
RoadReel does not guarantee any minimum income or monetization level.
Users must not post fake reviews, fabricated testimonials, deceptive endorsements, or compensated endorsements without required disclosures.
If a creator receives money, free products, discounts, employment benefits, affiliate compensation, or another material benefit for an endorsement, the relationship must be disclosed clearly and conspicuously as required by applicable law.
RoadReel may remove deceptive or undisclosed commercial Content.
The Service may integrate with Apple CarPlay, Android Auto, device operating systems, cloud providers, analytics providers, advertising networks, payment processors, authentication services, mapping providers, hosting providers, and other third parties.
Third-party services are controlled by their respective providers. RoadReel does not guarantee continued compatibility or availability.
Your use of third-party services may be subject to additional terms and privacy policies.
RoadReel is not responsible for third-party failures, outages, policy changes, data loss, or changes to APIs or vehicle integrations, except to the extent liability cannot legally be excluded.
RoadReel and its licensors own all rights in RoadReel Materials, including the RoadReel name, logo, trademarks, service marks, software, interfaces, designs, graphics, databases, algorithms, and other proprietary materials.
You receive a limited, revocable, non-exclusive, non-transferable license to access and use the Service for its intended purposes.
You may not copy, reproduce, modify, reverse engineer, scrape, frame, sell, sublicense, distribute, or create derivative works from RoadReel Materials except as expressly permitted by RoadReel or applicable law.
If you provide suggestions, ideas, feature requests, bug reports, or other feedback, you grant RoadReel a perpetual, irrevocable, worldwide, royalty-free, fully paid, transferable, sublicensable right to use and exploit that feedback for any purpose without compensation or attribution.
The Service is provided on an "AS IS" and "AS AVAILABLE" basis to the maximum extent permitted by law.
RoadReel does not guarantee uninterrupted, secure, error-free, or defect-free operation.
Service interruptions may result from maintenance, bugs, network failures, cloud outages, cyberattacks, device failures, app-store policies, vehicle integrations, telecommunications providers, acts of God, governmental actions, or other causes beyond RoadReel's reasonable control.
You are responsible for maintaining backups of Content you upload.
RoadReel does not guarantee permanent storage of User Content.
Content may be deleted, corrupted, lost, altered, unavailable, or rendered inaccessible due to technical failures, moderation, account termination, legal requirements, or other causes.
You should maintain independent copies of important Content.
RoadReel uses reasonable measures intended to protect the Service, but no system is completely secure.
You acknowledge that Internet transmission, wireless communications, cloud services, and connected devices involve security risks.
You must not attempt to bypass security controls, exploit vulnerabilities, access accounts without authorization, or interfere with Service security.
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless RoadReel and its owners, officers, directors, employees, contractors, affiliates, licensors, service providers, and agents from and against claims, demands, actions, proceedings, damages, liabilities, losses, judgments, settlements, penalties, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:
RoadReel reserves the right to assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with that defense.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS," WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
ROADREEL DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, SECURITY, QUIET ENJOYMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
ROADREEL DOES NOT WARRANT THAT THE SERVICE WILL BE SAFE, UNINTERRUPTED, ERROR-FREE, SECURE, ACCURATE, CURRENT, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
NOTHING IN THESE TERMS EXCLUDES A WARRANTY OR RIGHT THAT CANNOT LAWFULLY BE EXCLUDED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROADREEL AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, SERVICE PROVIDERS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROADREEL’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID ROADREEL FOR THE SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) $100.
THIS LIMITATION APPLIES TO ALL THEORIES OF LIABILITY, INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, WARRANTY, STATUTE, AND OTHER LEGAL THEORIES, EXCEPT TO THE EXTENT SUCH LIMITATION IS PROHIBITED BY LAW.
NOTHING IN THESE TERMS LIMITS LIABILITY FOR FRAUD, FRAUDULENT MISREPRESENTATION, WILLFUL INJURY, GROSS NEGLIGENCE, DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, OR ANY OTHER LIABILITY THAT CANNOT LAWFULLY BE LIMITED, INCLUDING UNDER CALIFORNIA CIVIL CODE SECTION 1668.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS. IN THOSE JURISDICTIONS, LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
To the maximum extent permitted by law, RoadReel is not responsible for User Content or for claims arising from User Content, including claims involving copyright, trademark, defamation, privacy, publicity rights, obscenity, fraud, misinformation, personal injury, emotional distress, or other alleged harm.
RoadReel does not adopt or endorse User Content merely by hosting, displaying, recommending, or distributing it through the Service.
Nothing in this section is intended to waive liability that cannot lawfully be waived.
To the maximum extent permitted by law, RoadReel is not responsible for the conduct, statements, omissions, representations, or actions of users, creators, advertisers, or other third parties.
You are responsible for your interactions with other users and for independently evaluating whether to communicate, transact, meet, or otherwise engage with them.
To the maximum extent permitted by law, you voluntarily assume risks associated with using a social audio platform, including exposure to offensive or inaccurate Content, interactions with strangers, third-party conduct, technology failures, network interruptions, AI errors, vehicle integration failures, and distraction risks.
You remain solely responsible for your safety and decisions.
RoadReel may suspend, restrict, or terminate accounts, remove Content, or disable access when we reasonably believe it is necessary to protect users, RoadReel, third parties, legal rights, intellectual property, security, or the integrity of the Service.
We may act without prior notice where permitted by law, particularly for serious violations, security threats, illegal activity, or urgent safety concerns.
You may stop using the Service at any time.
Upon termination, your right to access the Service ends. Provisions that by their nature should survive termination will survive, including intellectual-property provisions, Content licenses, disclaimers, limitations of liability, indemnification, dispute-resolution provisions, and provisions concerning accrued rights and obligations.
Subject to mandatory laws applicable to you, these Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
Subject to Section 38, you and RoadReel consent to the exclusive jurisdiction of the state and federal courts located in [COUNTY — TBD] County, California.
IMPORTANT: PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY HEAR YOUR CLAIMS. COUNSEL MUST REVIEW AND CONFIRM THIS SECTION BEFORE LAUNCH.
Informal resolution first. Before starting arbitration, you and RoadReel agree to try to resolve the dispute informally. Send a written Notice of Dispute to the address in Section 49 describing the claim and the relief sought. If the dispute is not resolved within 60 days, either party may begin arbitration.
Agreement to arbitrate. Except as stated below, you and RoadReel agree that any dispute, claim, or controversy arising out of or relating to the Service or these Terms shall be resolved by binding individual arbitration, and not in court.
Rules and provider. The arbitration will be administered by JAMS under its Streamlined Arbitration Rules and Procedures (or, if JAMS is unavailable, by another established provider the parties agree on in writing). The rules are available at jamsadr.com. The arbitration will be conducted in English by a single arbitrator.
Location and format. Arbitration will take place in the county where you reside, or by telephone, videoconference, or documents-only submission, at your election. You will not be required to travel outside your home county.
Fees. For claims under $10,000, RoadReel will pay all arbitration filing, administration, and arbitrator fees, unless the arbitrator finds the claim frivolous. Each party is otherwise responsible for its own attorneys’ fees unless applicable law or the arbitrator provides otherwise.
Exceptions. This section does not apply to: (a) claims that qualify for small-claims court; (b) claims to enforce or protect intellectual-property rights; (c) requests for emergency or temporary injunctive relief; or (d) any claim that cannot lawfully be arbitrated.
Right to opt out. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by sending written notice, including your name and account handle, to the legal-notices address in Section 49. Opting out will not affect any other part of these Terms and will not affect your use of the Service.
Severability. If any part of this section is found unenforceable, that part will be severed and the remainder will continue to apply, except that if the class-action waiver in Section 39 is found unenforceable as to a particular claim, that claim shall proceed in court rather than in arbitration.
To the maximum extent permitted by applicable law, you and RoadReel agree that disputes will be brought only on an individual basis and not as a class, collective, consolidated, private-attorney-general, or representative action, and the arbitrator may not consolidate or preside over any form of representative proceeding.
Public injunctive relief. Nothing in this section or in Section 38 waives your right to seek public injunctive relief where that right cannot lawfully be waived. Any claim for public injunctive relief shall be severed from arbitration and stayed pending the outcome of the arbitration of any arbitrable claims.
If applicable law prohibits enforcement of this provision in a particular claim or jurisdiction, it will be enforced only to the maximum extent permitted by law.
Nothing in these Terms is intended to waive rights provided to California consumers by non-waivable law.
If applicable California privacy law applies to RoadReel, privacy rights and disclosures are addressed in RoadReel’s Privacy Policy and any applicable privacy notices.
Under California Civil Code Section 1789.3, California users may reach the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by mail at 1625 North Market Blvd., Sacramento, CA 95834, or by telephone at (800) 952-5210.
Where applicable law provides a counter-notification procedure for removed Content, you may submit a counter-notification to the designated agent in Section 49 containing the elements required by 17 U.S.C. § 512(g).
Submitting a counter-notification may result in your information being provided to the complaining party as required by applicable law.
RoadReel may decline to restore Content where legally permitted or where independent grounds for removal exist.
RoadReel may modify, suspend, replace, or discontinue any feature or the Service at any time.
RoadReel is not liable for modifications or discontinuation, except where liability cannot lawfully be excluded.
We may revise these Terms from time to time. The updated version will be posted with a revised effective date.
For material changes, we will provide notice through the Service or by email at least 14 days before the changes take effect, where required by law.
Your continued use of the Service after the effective date of revised Terms constitutes acceptance to the extent permitted by law.
By using the Service, you consent to receive electronic communications from RoadReel concerning your account, transactions, security, legal notices, and Service operations.
Marketing communications may be subject to separate opt-out controls and applicable law.
You may not assign or transfer your rights or obligations under these Terms without RoadReel’s prior written consent.
RoadReel may assign or transfer these Terms in connection with a merger, acquisition, reorganization, financing, sale of assets, or other corporate transaction.
If any provision is held invalid or unenforceable, that provision will be modified or severed to the minimum extent necessary, and the remaining provisions will remain effective.
A failure by RoadReel to enforce a provision does not waive the right to enforce that provision later.
These Terms, the Privacy Policy, Community Guidelines, applicable creator or monetization terms, and other expressly incorporated policies constitute the agreement between you and RoadReel concerning the Service.
